When is "private matter" a private?

Will someone enlighten me what is the distinction between 'private matter between so and so and the Board of Directors'?

Can any member read the "minutes of the meeting of the BOD"?

What happends to public disclosure? Are we a secret society? Govern by secrecy?

I don't not understand please help.
