I recently read through the constitution and bylaws and seen nothing that restricts attendance to members only.

Shareholders in a corporation have voting rights. Members of our club do not (except where a vote of the membership itself is required), but we do serve at the pleasure of our members (through our election process), and we should allow them to have a voice to make proposals and suggestions.

In addition, we seek to expand our membership, and therefore we should hear what non-members would suggest to improve the club enough to create an incentive for them to join.

As for the approval of the minutes, waiting a full year to approve the minutes of the last meeting seems impractical. If there is an objection to the minutes, it should be rectified immediately, in my opinion. With the board having a midyear meeting, are those minutes approved at the annual meeting? Or do you have to wait until the next midyear meeting to approve them? Those are rhetorical questions, obviously. Unless the bylaws state otherwise, or the board has a whole believes otherwise, I intend to move forward with approving minutes of the most recent meeting at the subsequent meeting. I think it moves things along more quickly that way.
